A szoftverb\u00e9rleti szerz\u0151d\u00e9st\u0151l nem lehet el\u00e1llni.<\/li>\n<li>A szoftverb\u00e9rletet mindig a megadott id\u0151tartam kezdetekor, ill. a megadott d\u00e1tummal, el\u0151re sz\u00e1ml\u00e1zzuk. A szoftverb\u00e9rlet 1. \u00e9v\u00e9t, ill. r\u00f6vid t\u00e1v\u00fa b\u00e9rl\u00e9sn\u00e9l az 1. h\u00f3napot mindig a szerz\u0151d\u00e9s kezdetekor kell kifizetni. Csoportos beszed\u00e9si megb\u00edz\u00e1s eset\u00e9n a szoftverb\u00e9rlet d\u00edj\u00e1t leemelj\u00fck az \u00fcgyf\u00e9l sz\u00e1ml\u00e1j\u00e1r\u00f3l. Ehhez SEPA-megb\u00edz\u00e1st kell adnia nek\u00fcnk. Ez fedezi az \u00f6sszes, 4. pont szerinti szolg\u00e1ltat\u00e1st. A szoftverb\u00e9rleti d\u00edj nem vagy k\u00e9sedelmes fizet\u00e9se eset\u00e9n (pl. egy SEPA-terhel\u00e9s sztorn\u00f3z\u00e1sa eset\u00e9n) az \u00e9rintett k\u00f6vetel\u00e9seket (bele\u00e9rtve az esetleges k\u00f6lts\u00e9geket, mint pl. a sztorn\u00f3z\u00e1sok d\u00edja) inkassz\u00f3irod\u00e1nak adjuk tov\u00e1bb. Az ezzel j\u00e1r\u00f3 jelent\u0151s t\u00f6bbletk\u00f6lts\u00e9get az \u00fcgyf\u00e9l viseli. Emellett, ha az \u00fcgyf\u00e9l h\u00e1tral\u00e9kba ker\u00fcl a fizet\u00e9ssel, jogosultak vagyunk a szolg\u00e1ltat\u00e1sokat visszatartani, ill. megsz\u00fcntetni, an\u00e9lk\u00fcl, hogy k\u00f6telesek lenn\u00e9nk megt\u00e9r\u00edteni egy esetlegesen keletkez\u0151 k\u00e1rt.<\/li>\n<li>A szerz\u0151d\u00e9s futamideje alatt megjelen\u0151 ut\u00f3dterm\u00e9keket (upgrade-eket) a szoftverb\u00e9rleti szerz\u0151d\u00e9s d\u00edja fedezi. Ha azonban az \u00fcgyf\u00e9l a szerz\u0151d\u00e9s futamideje alatt a 4. bekezd\u00e9s szerinti szolg\u00e1ltat\u00e1s egy magasabb fokozat\u00e1ra v\u00e1lt, a szoftverb\u00e9rleti szerz\u0151d\u00e9s d\u00edja ennek megfelel\u0151en m\u00f3dosul.<\/li>\n<li>Az \u00fcgyf\u00e9l csak vitathatatlan vagy joger\u0151snek nyilv\u00e1n\u00edtott k\u00f6vetel\u00e9seket sz\u00e1m\u00edthat fel.<\/li>\n<li>A b\u00e9rbe vett szolg\u00e1ltat\u00e1sokat (k\u00fcl\u00f6n\u00f6sen a modulokat) az \u00fcgyf\u00e9l csak a szoftverb\u00e9rleti szerz\u0151d\u00e9s futamideje alatt haszn\u00e1lhatja. Ellenszolg\u00e1ltat\u00e1s fej\u00e9ben az \u00fcgyf\u00e9lnek nem kiz\u00e1r\u00f3lagos, id\u0151ben a szoftverb\u00e9rleti szerz\u0151d\u00e9s futamidej\u00e9re korl\u00e1tozott jogot adunk az \u00e9rintett b\u00e9rbe vett szolg\u00e1ltat\u00e1sok a mindenkor aktu\u00e1lis verzi\u00f3ban t\u00f6rt\u00e9n\u0151 haszn\u00e1lat\u00e1ra. Az \u00f6sszes, nem kifejezetten megadott haszn\u00e1lati jog a szerz\u0151\u00e9 marad. Amennyiben az \u00fcgyf\u00e9l a b\u00e9rbe vett szolg\u00e1ltat\u00e1sokat (k\u00fcl\u00f6n\u00f6sen a modulokat) lok\u00e1lisan telep\u00edtette a rendszer\u00e9re, azokat a szoftverb\u00e9rleti szerz\u0151d\u00e9s befejez\u00e9se ut\u00e1n marad\u00e9ktalanul t\u00f6r\u00f6lnie kell a rendszer\u00e9r\u0151l. Amennyiben az \u00fcgyf\u00e9l ezeket a szolg\u00e1ltat\u00e1sokat (k\u00fcl\u00f6n\u00f6sen a modulokat) a mi szerver\u00fcnk\u00f6n haszn\u00e1lja online, a szoftverb\u00e9rleti szerz\u0151d\u00e9s befejez\u00e9se ut\u00e1n z\u00e1roljuk az \u00fcgyf\u00e9l hozz\u00e1f\u00e9r\u00e9s\u00e9t ezekhez a szolg\u00e1ltat\u00e1sokhoz. Felsz\u00f3l\u00edt\u00e1sunkra az \u00fcgyf\u00e9lnek a szoftverb\u00e9rlet keret\u00e9ben neki esetlegesen \u00e1tengedett t\u00e1rgyakat (pl. adathordoz\u00f3k, hardverkulcsok) vissza kell adnia.<\/li>\n<li>Modulok haszn\u00e1lat\u00e1hoz mindig sz\u00fcks\u00e9g van a WSCAD alapszoftver \u00e9rv\u00e9nyes licenc\u00e9re, \u00e9l\u0151 szoftvergondoz\u00e1si szerz\u0151d\u00e9ssel vagy \u00e9rv\u00e9nyes el\u0151fizet\u00e9ssel. A WSCAD alapszoftverre k\u00f6t\u00f6tt szoftvergondoz\u00e1si szerz\u0151d\u00e9s vagy el\u0151fizet\u00e9s lej\u00e1rt\u00e1val a hozz\u00e1 tartoz\u00f3 modulokra vonatkoz\u00f3 esetleges szoftverb\u00e9rleti szerz\u0151d\u00e9sek is automatikusan v\u00e9get \u00e9rnek.<\/li>\n<li>A 4. szakasz szerinti szolg\u00e1ltat\u00e1sok eset\u00e9n a kezdeti hib\u00e1k miatti objekt\u00edv felel\u0151ss\u00e9get r\u00e9sz\u00fcnkr\u0151l hat\u00e1rozottan kiz\u00e1rjuk. Egy\u00e9bk\u00e9nt ezeket a szolg\u00e1ltat\u00e1sokat a szerz\u0151d\u00e9s id\u0151tartama alatt karbantartjuk, gondozzuk \u00e9s megfelel\u0151 service packeket \u00e9s update-eket bocs\u00e1tunk az \u00fcgyf\u00e9l rendelkez\u00e9s\u00e9re let\u00f6lthet\u0151 form\u00e1ban. Kezesked\u00fcnk az\u00e9rt, hogy a 4. szakasz szerinti szolg\u00e1ltat\u00e1sok a szerz\u0151d\u00e9s futamideje alatt a term\u00e9kle\u00edr\u00e1sban r\u00e9szletezett funkci\u00f3kat mutatj\u00e1k fel. K\u00f6telezetts\u00e9get v\u00e1llalunk arra, hogy az \u00fcgyf\u00e9l \u00e1ltal jelentett szoftverprobl\u00e9m\u00e1kat kivizsg\u00e1ljuk \u00e9s lehet\u0151s\u00e9g szerint \u00fatmutat\u00e1st adunk a probl\u00e9m\u00e1k megold\u00e1s\u00e1hoz. A szoftver jelent\u0151s hib\u00e1i eset\u00e9n k\u00f6telezetts\u00e9get v\u00e1llalunk arra, hogy a hib\u00e1t az egyik j\u00f6v\u0151beni \u00faj program\u00e1llapottal elh\u00e1r\u00edtjuk, amennyiben az elh\u00e1r\u00edt\u00e1s a 3.3 szakasz szab\u00e1lyoz\u00e1s\u00e1nak megfelel\u0151en lehets\u00e9ges. A hibakeres\u00e9s \u00e9s hibaelh\u00e1r\u00edt\u00e1s felt\u00e9tele az \u00fcgyf\u00e9l egy\u00fcttm\u0171k\u00f6d\u00e9se az \u00e1ltalunk sz\u00fcks\u00e9gesnek \u00edt\u00e9lt megfelel\u0151 m\u00e9rt\u00e9kben. Az \u00fcgyf\u00e9l szakszer\u0171tlen kezel\u00e9se, harmadik f\u00e9l behat\u00e1sa vagy vis maior \u00e1ltal okozott zavarok \u00e9s k\u00e1rok elh\u00e1r\u00edt\u00e1sa nem t\u00e1rgya a szoftverb\u00e9rlet szolg\u00e1ltat\u00e1sainak. Ezen t\u00falmen\u0151en nem v\u00e1llalhatunk szavatoss\u00e1got a hib\u00e1tlans\u00e1g\u00e9rt. K\u00fcl\u00f6n\u00f6sen arra nem v\u00e1llalunk garanci\u00e1t, hogy a szoftver az \u00fcgyf\u00e9l \u00e1ltal t\u00e1masztott k\u00f6vetelm\u00e9nyeknek \u00e9s c\u00e9ljaira megfelel vagy m\u00e1s, az \u00e1ltala kiv\u00e1lasztott programokkal \u00e9s rendszer\u00f6sszetev\u0151kkel egy\u00fcttm\u0171k\u00f6dik.<\/li>\n<li>A term\u00e9kfejleszt\u00e9s keret\u00e9ben \u00faj funkci\u00f3kat bocs\u00e1thatunk az \u00fcgyf\u00e9l rendelkez\u00e9s\u00e9re a b\u00e9relt szolg\u00e1ltat\u00e1sok r\u00e9szek\u00e9nt. A 4. szakasz szerinti szolg\u00e1ltat\u00e1sok meghat\u00e1rozott b\u0151v\u00edt\u00e9s\u00e9re vagy kieg\u00e9sz\u00edt\u00e9s\u00e9re vonatkoz\u00f3an azonban az \u00fcgyf\u00e9l nem t\u00e1maszthat ig\u00e9nyt.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"01-5\">Sz\u00e1ll\u00edt\u00e1si- \u00e9s teljes\u00edt\u00e9si id\u0151, a kock\u00e1zat \u00e1tsz\u00e1ll\u00e1sa<\/h3>\n<ol class=\"ebene2\">\n<li>Ha a meg\u00e1llapodott sz\u00e1ll\u00edt\u00e1si hat\u00e1rid\u0151t t\u00f6bb mint h\u00e1rom h\u00e9ttel t\u00fall\u00e9pj\u00fck, az \u00fcgyf\u00e9lnek megv\u00e1s\u00e1rolt \u00e1ru eset\u00e9n joga van egy megfelel\u0151en kit\u0171z\u00f6tt p\u00f3that\u00e1rid\u0151 lej\u00e1rta ut\u00e1n visszal\u00e9pni a szerz\u0151d\u00e9st\u0151l. A k\u00e1rt\u00e9r\u00edt\u00e9s kiz\u00e1rva, kiv\u00e9ve, ha a k\u00e9sedelmet mi okoztuk sz\u00e1nd\u00e9kosan vagy durva hanyags\u00e1gb\u00f3l.<\/li>\n<li>A kock\u00e1zat az \u00fcgyf\u00e9lre sz\u00e1ll \u00e1t, amint az \u00e1rut a sz\u00e1ll\u00edt\u00f3nak \u00e1tadtuk, de legk\u00e9s\u0151bb, amint telephely\u00fcnket elhagyta. Ez \u00e9rv\u00e9nyes akkor is, ha b\u00e9rmentes\u00edtett sz\u00e1ll\u00edt\u00e1sra sz\u00f3l a meg\u00e1llapod\u00e1s. Minden sz\u00e1ll\u00edt\u00e1s \u2013 bele\u00e9rtve az esetleges visszak\u00fcld\u00e9seket is \u2013 a megrendel\u0151 kock\u00e1zat\u00e1ra t\u00f6rt\u00e9nik.<\/li>\n<li>Hib\u00e1s rendel\u00e9s eset\u00e9n, vagy ha az \u00fcgyf\u00e9l az \u00e1rut visszak\u00fcldi, fenntartjuk magunknak a jogot, hogy t\u00e9telenk\u00e9nt 5% m\u00e9rt\u00e9k\u0171, ill. legal\u00e1bb nett\u00f3 75.-\u20ac \u00f6sszeg\u0171 k\u00f6lts\u00e9g-hozz\u00e1j\u00e1rul\u00e1st sz\u00e1ml\u00e1zzunk.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"01-6\">Fizet\u00e9si felt\u00e9telek<\/h3>\n<ol class=\"ebene2\">\n<li>A sz\u00e1ml\u00e1k el\u0151re fizet\u00e9ssel vagy 14 napon bel\u00fcl fizetend\u0151k.<\/li>\n<li>A szoftvergondoz\u00e1si szerz\u0151d\u00e9s d\u00edj\u00e1t mindig a megadott id\u0151tartam kezdetekor, ill. a megadott d\u00e1tummal, el\u0151re sz\u00e1ml\u00e1zzuk. Ez fedezi az \u00f6sszes, III. pont szerinti szolg\u00e1ltat\u00e1st. Ha nem szakszer\u0171 kezel\u00e9s, hib\u00e1s haszn\u00e1lat, vagy m\u00e1s, nem a mi felel\u0151ss\u00e9g\u00fcnkbe tartoz\u00f3 k\u00f6r\u00fclm\u00e9ny oka az \u00e1ltalunk ny\u00fajtott szolg\u00e1ltat\u00e1soknak, akkor azokat nem egyenl\u00edti ki a d\u00edj, hanem r\u00e1ford\u00edt\u00e1s szerint sz\u00e1m\u00edtjuk fel.<\/li>\n<li>Jogosultak vagyunk az \u00e9ves d\u00edj (gondoz\u00e1s, b\u00e9rl\u00e9s) \u00f6sszeg\u00e9t m\u00f3dos\u00edtani. T\u00f6bb mint 10 %-os emel\u00e9s (a WSCAD SUITE-n\u00e1l), ill. t\u00f6bb mint 5 %-os emel\u00e9s (a WSCAD ELECTRIX-n\u00e9l) eset\u00e9n az \u00fcgyf\u00e9l a t\u00e1j\u00e9koztat\u00f3 megk\u00fcld\u00e9se ut\u00e1n 4 h\u00e9ten bel\u00fcl felmondhatja a szoftvergondoz\u00e1si szerz\u0151d\u00e9st.<\/li>\n<li>Ha az \u00fcgyf\u00e9l a szerz\u0151d\u00e9s futamideje alatt magasabb fokozatra v\u00e1lt, a gondoz\u00e1si szerz\u0151d\u00e9s d\u00edja ennek megfelel\u0151en m\u00f3dosul.<\/li>\n<li>Az \u00fcgyf\u00e9l csak vitathatatlan vagy joger\u0151snek nyilv\u00e1n\u00edtott k\u00f6vetel\u00e9seket sz\u00e1m\u00edthat fel.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"01-7\">A tulajdonjog fenntart\u00e1sa<\/h3>\n<ol class=\"ebene2\">\n<li>TA megv\u00e1s\u00e1rolt \u00e1ru az \u00fcgyf\u00e9llel szembeni \u00f6sszes k\u00f6vetel\u00e9s\u00fcnk teljes\u00edt\u00e9s\u00e9ig a mi tulajdonunk marad. Ezt megel\u0151z\u0151en az elz\u00e1logos\u00edt\u00e1s vagy biztons\u00e1gi \u00e1truh\u00e1z\u00e1s tilos \u00e9s a tov\u00e1bbad\u00e1s csak viszontelad\u00f3knak enged\u00e9lyezett a szok\u00e1sos \u00fczletmenetben azzal a felt\u00e9tellel, hogy a viszontelad\u00f3 az \u00e1rut a maga r\u00e9sz\u00e9r\u0151l a tulajdonjog fenntart\u00e1s\u00e1val adja el, \u00e9s azonnal \u00e1tengedi nek\u00fcnk a v\u00e9tel\u00e1rig\u00e9nyt.<\/li>\n<li>Az \u00fcgyf\u00e9l jogosult az \u00e1truh\u00e1zott k\u00f6vetel\u00e9seket szab\u00e1lyszer\u0171 \u00fczleti kapcsolatokon kereszt\u00fcl beszedni. All offers are subject to confirmation and are non-binding. A contract enters into force only through a written confirmation by WSCAD or by the execution of an order by WSCAD. Changes in the scope of services (so-called change requests) are only possible in writing, by mutual agreement, and with an appropriate adjustment of the remuneration. In addition, the following applies to the scope of digitization services:<\/p>\n<ol class=\"ebene2\">\n<li>Digitization involves the conversion of existing plans (schematics or construction plans) on a page by page basis to a WSCAD data format or some other external format in agreement with the customer. The primary objective here is to create plans which are functional and effective with WSCAD and which can then be processed further. This may require deviations from a 1:1 representation in some cases and is not a deficiency in the processing.<\/li>\n<li>Only those values, texts and information that are visibly entered in the plans are transferred. The purchaser undertakes to indemnify WSCAD from and against any resulting disadvantages (including any legal and court costs involved).<\/li>\n<li>In addition, the following applies to the obligation to cooperate in the context of digitization: Before any offer is created, all plans to be digitized must be provided by the client in digital form (PDF, DWG). This also includes, in particular, any custom drawing frames or forms. Only the actually supplied plans are covered by the offer. The plans are treated confidentially and, if an order is placed, archived by WSCAD until the expiry of the warranty period. After the deadline or if no order is placed, the plans will be destroyed or returned upon request.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"02-3\">Delivery dates, transfer rights<\/h3>\n<ol class=\"ebene2\">\n<li>Delivery dates and deadlines are non-binding, unless designated as such explicitly and in writing by WSCAD. Should any circumstances that could affect the processing time become known during the performance of the contract, the purchaser shall be notified without delay. Any agreed delivery date will be postponed accordingly in such cases. The same applies to delays arising from a breach of the obligation to cooperate by the purchaser. Claims for damages on exceeding the delivery period are excluded.<\/li>\n<li>To the extent that the contractual services are protected by intellectual property rights, the purchaser shall be granted &#8211; unless expressly stated otherwise in the offer &#8211; only a simple, non-transferable right of use which, however, shall be subject to the condition precedent that all claims of WSCAD arising from this contractual relationship have been fully satisfied. Furthermore, all copyrights and\/or rights of ownership relating to the contractual services shall remain with WSCAD, unless specified otherwise in other provisions.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"02-4\">Acceptance of Services, Prices and Payment for Services and the Performance of Work, Set-off<\/h3>\n<ol class=\"ebene2\">\n<li>For work performed, the purchaser shall be obliged to formally accept the completed work. The work shall be deemed accepted if the purchaser does not complain in writing that the work is deficient or represents a breach of contract within 14 days after the delivery. The remedy may be denied as long as the purchaser has not fulfilled their payment obligations for the non-deficient part of the performance.<\/li>\n<li>The agreed price for the performance of work shall be due upon expiration of the aforementioned acceptance period as a net amount, including the statutory value-added tax, and without any deductions. Invoices for services shall be due within 14 days after the invoice as a net amount, including the statutory value-added tax, and without any deductions.<\/li>\n<li>Unless stipulated otherwise in the offer, services are billed on a time basis, with a daily rate corresponding to 4.3 hours of service and any time beyond this period charged on an hourly basis at 1\/8-th of the daily rate. The service fee is due for payment no later than 90 days after the service has been rendered. Travel expenses (e.g., transportation fares and accommodation costs, catering costs and other allowances) are charged at actual cost, and travel times are calculated at 1\/2 the hourly rate. The prices for services are determined by the currently valid price list of WSCAD.<\/li>\n<li>The performance of work is charged on a time and materials basis, unless stipulated otherwise in the offer. The foregoing paragraph shall apply mutatis mutandis. The prices for work performed are determined by the currently valid price list of WSCAD.<\/li>\n<li>If an estimate of the charges for the performance of work or services is included in an offer, the estimate shall always be deemed non-binding.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"02-5\">WSCAD warranty for work performed, liability of WSCAD for work and services, statute of limitations for claims of the purchaser<\/h3>\n<ol class=\"ebene2\">\n<li>WSCAD provides no warranties for services. For work performed, WSCAD provides a warranty period 12 months after acceptance. Defects and\/or deficiencies must be reported and documented by the client in writing. WSCAD will rectify these defects and\/or deficiencies in the context of a cure within a reasonable time period. Should even a second attempt at a cure fail, the client shall be entitled to reduce the price of the service or withdraw from the contract. As a prerequisite, the defect involved must be a serious defect. Claims for damages are excluded, however, unless a defect has been fraudulently concealed or a warranty has not been complied with. If it turns out that WSCAD has provided services for troubleshooting\/repairs without being obligated to do this (for example, because the client cannot prove the defect or attribute it to WSCAD), the purchaser shall reimburse WSCAD for the expenses incurred at the currently valid rates for services or the performance of work.<\/li>\n<li>For damages resulting from injury to life, limb or health, WSCAD shall be liable according to the statutory provisions. For other damages, WSCAD shall only be liable (subject to the next sentence) for intent and gross negligence. For other damages resulting from the breach of any crucial obligation whose fulfillment is essential to the proper performance of the contract, and on whose compliance the purchaser may regularly rely on, WSCAD shall also be liable for simple negligence, but this liability shall be limited to the foreseeable damages at the time of the infringement. The above provisions also apply to breaches of duty by vicarious agents of WSCAD. Liability under the Product Liability Act and liability for damages resulting from the breach of warranties remain unaffected by the foregoing provisions.<\/li>\n<li>The purchaser is obliged to use the provided updates, patches and\/or service packs for the software and to back up their data before installing the software and periodically thereafter, especially before making any changes to the hardware or software environment. Insofar as the purchaser is guilty of contributory negligence through the breach of contractual or legal obligations or through any changes to the software and\/or the subject of the contract or the improper handling or incorrect operation of the software and\/or subject of the contract by the purchaser or a third party, WSCAD shall not be deemed liable. WSCAD assumes no responsibility for the selection, installation and use, as well as the intended results of the software and\/or the subject of the contract.<\/li>\n<li>Furthermore, the following applies to digitization: The client is personally responsible for the acceptance of the planning documents digitized by WSCAD. The planning, design or conversion of a plant based on digitization created by WSCAD is explicitly prohibited until the client has formally checked the digitization for errors and completed the approval and acceptance process.<\/li>\n<li>All claims of the purchaser under this these Terms and Conditions shall expire within one year after the completion of the service or acceptance of the work.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"02-6\">Special conditions for services of WSCAD (seminars, individual training courses and workshops, consulting, project planning)<\/h3>\n<ol class=\"ebene2\">\n<li>Special conditions for standard seminars\n<ol class=\"ebene3\">\n<li>Standard seminars are seminars, which take place online or in our training centers in Germany on specified dates according to a defined training concept.<\/li>\n<li>The fees for a seminar shall be charged to the purchaser about 4 weeks prior to the start of the seminar and shall be due, including the statutory value added tax (MwSt), within 14 days after receipt of the invoice. The seminar fees must be paid before the start of the seminar; otherwise, WSCAD reserves the right to prohibit the participation of the customer in the seminar. The seminar fees for face-to-face events include technical equipment, lunch, soft drinks and seminar materials.<\/li>\n<li>Contract model for standard seminars (&#8222;Training packages&#8221;)\n<ol class=\"ebene4\">\n<li>For standard seminars, WSCAD optionally offers a paid subscription with a basic fee and a fixed contingent of seminar days. For this subscription, the provisions of this section 6.1.3 shall apply in deviation from section 6.1.2 above.<\/li>\n<li>Subscription contracts without automatic renewal have a fixed term of 365 days from the conclusion of the contract and end at the end of the contract term without the need for termination. The one-time basic fee is due for payment within 90 days of conclusion of the contract.<\/li>\n<li>Subscription contracts with automatic renewal have a minimum term of 365 days from the conclusion of the contract and are automatically extended by one year at a time, unless they are terminated in good time in accordance with this section. They can be properly terminated with a notice period of three months to the end of the respective period of use. The right of the parties to extraordinary termination for good cause shall remain unaffected. Any notice of termination must be given in writing in order to be legally valid. The annual basic fees are due for payment in advance within 90 days of the start of each new contract year. Monthly payments are not possible.<\/li>\n<li>Unused contingent expires at the end of the respective usage period. If the contingent is exhausted prematurely, WSCAD may submit a new offer for further services in accordance with the regularly applicable prices.<\/li>\n<\/ol>\n<\/li>\n<li>Schedule changes, changes in registrations and cancellations must be communicated to WSCAD by the purchaser in writing or via an email to <a href=\"mailto:gbs@wscad.com\">gbs@wscad.com<\/a><\/li>\n<li>Schedule changes notified up to 14 days before the start of the seminar shall be implemented free of charge. For schedule changes notified at a later date, a processing fee of \u20ac100.00 net shall be due and shall be charged to the purchaser by WSCAD in addition to the seminar fees.<\/li>\n<li>A change in registration, i.e., replacing a registered participant by another person, is free of charge.<\/li>\n<li>In the case of a cancellation of the seminar by the purchaser \u2013 except in the case of termination pursuant to \u00a7626 of the German Civil Code (BGB) \u2013 the cancellation fees shall be calculated as follows:\n<ul>\n<li>For cancellations up to 14 days before the start of the seminar: 30% of the total amount<\/li>\n<li>For cancellations up to 7 days before the start of the seminar: 50% of the total amount<\/li>\n<li>For cancellations up to 4 days before the start of the seminar: 75% of the total amount<\/li>\n<li>For cancellation from 3 days before the start of the seminar: 100% of the total amount<\/li>\n<\/ul>\n<p>The purchaser retains the right to provide evidence that WSCAD did not incur any expenses or that the expenses incurred were a considerably lower amount.<\/li>\n<li>Should the seminar be canceled by WSCAD for a compelling reason (e.g., illness of faculty staff, force majeure, failure to reach the minimum number of participants or other unforeseen events), this shall be deemed a notice of termination pursuant to \u00a7626 Section 2 of the German Civil Code (BGB). In the event of such a cancellation, the purchaser has no right to the seminar being held on the seminar date. In the event of a cancellation by WSCAD, the purchaser can choose whether to participate in another seminar offered by WSCAD or to cancel the booking. In the latter case, the purchaser will be reimbursed the fee. The provisions of the previous section 6.1.3. shall remain unaffected by this.<\/li>\n<li>For damage caused as a result of cancellation by WSCAD (e.g., travel and accommodation costs or loss of work), WSCAD shall be liable only pursuant to the above Section 5.2.<\/li>\n<li>The seminar documents provided by WSCAD are copyright protected and may not be reproduced, copied or distributed without written consent.<\/li>\n<\/ol>\n<\/li>\n<li>Special provisions for further services (including individual training courses and workshops, consulting and project planning, in particular, which are carried out at the customer site or deviate from the definition of standard seminars)\n<ol class=\"ebene3\">\n<li>The terms of payment for services are described in Section 4.3.<\/li>\n<li>Contract model for Services (&#8222;Consulting Packages&#8221;)\n<ol class=\"ebene4\">\n<li>For services, WSCAD optionally offers a paid subscription with a basic fee and a fixed contingent of service days. The provisions of the previous section 6.2.2. shall remain unaffected by this.<\/li>\n<li>For damage caused as a result of cancellation by WSCAD (e.g., travel and accommodation costs or loss of work), WSCAD shall be liable only pursuant to the above Section 5.2.<\/li>\n<li>The documents provided by WSCAD are protected by copyright and may not be reproduced, copied or distributed without written consent.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"02-7\">Vicarious agents of WSCAD<\/h3>\n<p>WSCAD shall be entitled to perform any owed work or services through subcontractors or other vicarious agents.<\/li>\n<li>\n<h3 id=\"02-8\">Set-off \/ assignment by the purchaser<\/h3>\n<ol class=\"ebene2\">\n<li>The purchaser shall be entitled to set-off of debts only with undisputed or legally established counterclaims.<\/li>\n<li>Without the express permission of WSCAD, the purchaser is not entitled to assign or transfer any rights and obligations under this contract.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"02-9\">Validity and amendment of these Terms and Conditions<\/h3>\n<ol class=\"ebene2\">\n<li>In addition, our Terms and Conditions for Software Delivery and Maintenance apply. The present terms and conditions shall take precedence over the general terms and conditions for software delivery and maintenance within the context of the provision of services and work. Other conditions of the purchaser shall apply, even if not explicitly objected to, only insofar as they conform to these terms and conditions. Collateral agreements are only effective if they are confirmed in writing.<\/li>\n<li>WSCAD reserves the right to alter or amend these Terms and Conditions in the future insofar as this is reasonable for the purchaser, i.e., in particular insofar as the alteration or amendment is necessary due to changes in law, changes in rulings by the highest court or changes in market conditions. The purchaser shall be notified when new Terms and Conditions have been published. The amendment to the Terms and Conditions shall come into force if the purchaser does not object to it within six weeks after the amended Terms and Conditions have been set and notification of the amendment has been given. WSCAD shall specifically point this out to the purchaser in the change notification.<\/li>\n<\/ol>\n<\/li>\n<li>\n<h3 id=\"02-10\">Final Provisions<\/h3>\n<ol class=\"ebene2 zweistellig\">\n<li>The invalidity or ineffectiveness of individual provisions of these Terms and Conditions shall not affect the validity of any of the remaining provisions. In such cases, both parties shall strive to replace any such deficient or invalid provision with one that most closely reflects the original economic and legal intent of the replaced provision.<\/li>\n<li>Insofar as these terms and conditions do not include any provisions to the contrary, the general legal provisions of the substantive law of the Federal Republic of Germany to the exclusion of the CISG (United Nations Convention on Contracts for International Sale of Goods) shall apply.<\/li>\n<li>The place of fulfillment is Bergkirchen. The place of jurisdiction for any disputes arising from or in connection with these Terms and Conditions shall be Munich if the client is a merchant or has no general jurisdiction in the territory of the Federal Republic of Germany or is a legal person under public law. WSCAD reserves the right to institute legal proceedings through courts in any other prescribed place of jurisdiction.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][\/vc_column][\/vc_row][vc_row type=&#8221;in_container&#8221; The minimum term of the subscription is 365 days from the conclusion of the contract. The contract is automatically extended by one year at a time, unless it is terminated in good time in accordance with the following section. Billing takes place annually in advance. Monthly payments are not possible.<\/li>\n<li>The contract can be properly terminated with a notice period of three months to the end of the respective period of use. The right of the parties to extraordinary termination for good cause shall remain unaffected. Any notice of termination must be given in writing in order to be legally valid. Even after cancellation, the media library can be used without restrictions until the end of the respective usage period.<\/li>\n<li>The user is obliged to truthfully fill in the information requested during registration. A secure password is required for registration. The secrecy of the password is the sole responsibility of the user. Passing on the password and access data is not permitted.<\/li>\n<li>If a user suspects that his or her access data has been stolen or that his or her user account is being used without authorization, the user is obliged to inform WSCAD immediately. The user is liable for the unauthorized use of his or her user account by third parties until WSCAD has been informed of the unauthorized use.<\/li>\n<li>The contents of WSCADEMY are protected by copyright. The user receives the non-exclusive, non-transferable right, limited in time to the duration of the contract, to access the contents of the WSCADEMY. Times during which the WSCADEMY cannot be reached due to (especially technical) faults for which WSCAD is not responsible are not taken into account. The same applies to maintenance work to a reasonable extent. WSCAD may further limit the aforementioned availability to the extent necessary to avoid serious disruptions.<\/li>\n<li>For damages resulting from injury to life, limb or health, we shall be liable according to the statutory provisions. For other damages, we shall only be liable (subject to the next sentence) for intent and gross negligence.
